程度沒有好到可以自己查出錯誤,卻總是被分派這些額外的工作
讓我常常要麻煩別人....真不好意思~

不過我說說我自己會怎麼寫

6.  Arbitration

The  Authorized  Company  shall  comply  with  the  terms  and  conditions  hereof.  Any  and  all  disputes  arising  out  of,  or  in  connection  with  losses  and  damages  incurred  by  the  Owner  due  to  the  Authorized  Company`s  breach  of  this  Letter  of  Authority  shall  be  settled  by  arbitration  in  Taiwan.  The  entire  arbitration  shall  be  conducted  in  English.  All  losses  and  damages  so  incurred  and  the  arbitration  fees  shall  be  borne  by  the  Authorized  Company.

6.  Any  amendment,  modification  and  supplement  of  this  Letter  of  Authority  shall  be  made  by  mutual  agreement  of  the  Parties.  This  Letter  of  Authority  is  executed  in  two  counterparts  with  each  Party  holding  one  counterpart,  and  shall  become  effective  upon  execution  of  the  Parties.

7.  不知道贊助金是甚麼意思，通常授權的情況下會牽涉到的比較多是"權利金"，或許妳要的是"權利金"的概念??
如果是權利金的話，可用royalty  fee

第6的那個部份,不是貼錯.只是因為我不知道要怎樣翻是一般的合約語言.所以我把中文內容換成我會的方式表達,所以會感覺奇怪

另外,我們說的贊助金不是權利金.是真的要對方付我們專利申請費的贊助金額,我不知用  sponsorship  money  for  patent  不知是否可以

授權人與被授權人雙方同意遵守此授權書中條例之協議.  此授權書僅給予被受權者銷售商品的權利,並非給予獨家經銷/代理權. 
The  company  AAA,  Add  owner  of  xxx  product  (hereinafter  called  the  Owner),  and  BBB  Add  (hereinafter  called  the  Authorized  Company)  agrees  the  terms  and  conditions  in  this  Letter  of  Authority.This  Letter  of  Authority  grants  the  Authorized  Company  the  selling  right  of  Commodity  (Clause  1)  only,  not  grants  the  right  of  being  a  sole  distributor  or  agent. 

商品
1.  Commodity:    xxx    product  (hereinafter  called  Commodity)  (Australia  Patented  Number…..) 
區域
被授權者僅能在澳洲區銷售商品
2.  Territory  :  The  Authorized  Company  is  only  allowed  to  sell  Commodity  in  Australia. 

期限
3.1  授權期限為12個月,由雙方均簽署日算起
3.2  並且,此授權書應在過期前重新簽署,以讓被授權者有繼續銷售商品的權利.
3.3  若此受權已過期,且未被雙方續簽,被受權者無繼銷售商品的權利,且應立即停止所有配送及銷售活動.  即便是在過期前的進貨/庫存,都不得銷售. 
3.  Term: 
3.1  The  term  of  this  Letter  of  Authority  shall  be  for  a  period  of  12  months  from  the  date  of  this  Letter  of  Authority  has  been  signed  by  both  parties  .   
3.2  And,  this  Letter  of  Authority  shall  be  re-signed  on/before  expiration  (each  12  months)  in  order  that  the  Authorized  Company  shall  continue  having  the  right  of  selling  the  Commodity. 
3.3  In  the  case  of  expiration  and  this  Letter  of  Authority  no  re-signed  by  both  parties,  the  Authorized  Company  shall  have  no  right  to  continue  selling  this  Commodity  and  shall  cease  all  distribution  and  sale  of  the  Commodity  immediately.  Even  the  inventories/stocks  purchased  before  the  expiration,  the  Authorized  Company  shall  have  no  right  to  sell  the  Commodity  without  re-signed  this  Letter  of  Authority.           

被授權人同意此授權為直接授權關係,不得私下再授權,轉讓予第三者
4.  Assignment
This  Letter  of  Authority  shall  not  be  assigned,  sublicensed  to  any  third  parties. 

5.  授權規範
5.1  為保護擁有方及所有被受權的公司,授權公司同意以擁有方為商品唯一的供貨/製造商
5.2為避免惡性競爭,建議零售價不得低於NTD  1180.    匯率以雙方簽合約之該月平均匯率為主
5.3  被受權方可以針對專案去做促銷降價,但是要先通知,並得到擁有方的書面授權.
5.4被授權人若未能遵守此協議,  應無異議放棄抗辯,  並補償授權人市場銷售的損失. 

5.  Restriction
5.1  In  order  to  protect  the  rights  of  Owner  and  all  authorized  companies,  the  Authorized  Company  agrees  the  Owner  will  be  the  only  and  exclusive  manufacturer/supplier  of  the  Commodity. 
5.2  In  order  to  avoid  the  unhealthy  or  destructive  competition,  the  suggested  retails  price  should  not  be  lower  than  NTD1180.  The  exchange  rate  shall  base  on  the  average  exchange  rate  of  the  month  when  both  parties  executive  of  this  Letter  of  Authority.

5.3  The  Authorized  Company  can  offer  a  discount  price  as  a  promotion  for  some  certain  projects,  but  needs  to  notice  the  Own  in  advance  and  with  the  Owner’s  written  permission. 

The  Authorized  Company  shall  obligate  the  above  restriction  (Clause  5.1  ,  5.2,  5.3  ).  If  Authorized  Company  breaches  any  of  above  restriction,  the  Authorized  Company  shall  automatically  give  up  the  rights  of  plea  and  indemnify  Owner  for  the  loss  in  the  market. 

專利贊助金
被授權人同意無償還捐付  …給擁有方,當成專利贊助金
6.  Patent  Application  fund
  The  Authorized  Company  agrees  to  sponsor  a  non-refundable  sum  of  USD  ____  as  a  patent  application  fund  by  Authorized  Company  to  Owner.

1.  不懂妳裡面用了兩次"add"的目的是什麼
2.  第一句應用"agree"(文法問題)
後面我會改成  agree  to  comply  with  the  terms  and  conditions...
3.  第二句直接寫成
This  Letter  of  Authority  grants  the  Authorized  Company  a  non-exclusive  right  to  sell  the  Commodity.(一般比較常用"Product"，少用"Commodity"，妳斟酌斟酌)即可，不用重複地說給你權利賣，但不是非專屬授權。

後面商品跟區域的地方    就無須更動了

3.1  from    the    date    of    this    Letter    of    Authority    has    been    signed    by    both    parties.  →直接改成"the  execution  date  of  this  Letter  of  Authority"即可

3.2  And,    this    Letter    of    Authority    shall    be    re-signed    on/before    expiration    (each    12    months)    in    order    that    the    Authorized    Company    shall    continue    having    the    right    of    selling    the    Commodity.   
→合約上不宜在句首這樣的情況下放and，妳可以改成Moreover或Further之類的代用詞
我會改寫成：Further,  the  Parties  shall  renew  this  Letter  of  Authority  on  or  before  the  expiration  thereof  for  the  Authorized  Company  to  continuously  enjoy  the  right  to  distribute  the  Commodity.

3.3  In    the    case    of    expiration    and    this    Letter    of    Authority    no    re-signed    by    both    parties,    the    Authorized    Company    shall    have    no    right    to    continue    selling    this    Commodity    and    shall    cease    all    distribution    and    sale    of    the    Commodity    immediately.    Even    the    inventories/stocks    purchased    before    the    expiration,    the    Authorized    Company    shall    have    no    right    to    sell    the    Commodity    without    re-signed    this    Letter    of    Authority.

→  If  the  Letter  of  Authority  is  not  renewed  by  the  Parties  upon  expiration,  the  Authorized  Company  shall  no  longer  have  the  right  to  distribute  the  Commodity  and  shall  immediately  cease  all  shipping  an

→  The  Authorized  Company  may  offer  a  discounted  price  for  specific  projects  only  if  the  Authorized  Company  has  notified  the  Owner  of  such  discounted  price  in  advance  and  obtained  the  Owner`s  prior  written  notice.

5.4  loss  in  the  market  →妳是要指market  share  還是  potential  profit?

1.  add  是  地址,我到時會把地址直接打在後面
2.  lost  in  the  markte.  其實我們老闆應該也沒有定義的那麼清楚的,如果寫上market  share  and  potenial  profit  也可以嗎?
