5. 授權規範
5.1 為保護擁有方及所有被受權的公司,授權公司同意以擁有方為商品唯一的供貨/製造商
5.2為避免惡性競爭,建議零售價不得低於NTD 1180. 匯率以雙方簽合約之該月平均匯率為主
5.3 被受權方可以針對專案去做促銷降價,但是要先通知,並得到擁有方的書面授權.
5.4被授權人若未能遵守此協議, 應無異議放棄抗辯, 並補償授權人市場銷售的損失.
5. Restriction
5.1 In order to protect the rights of Owner and all authorized companies, the Authorized Company agrees the Owner will be the only and exclusive manufacturer/supplier of the Commodity.
5.2 In order to avoid the unhealthy or destructive competition, the suggested retails price should not be lower than NTD1180. The exchange rate shall base on the average exchange rate of the month when both parties executive of this Letter of Authority.
5.3 The Authorized Company can offer a discount price as a promotion for some certain projects, but needs to notice the Own in advance and with the Owner’s written permission.
The Authorized Company shall obligate the above restriction (Clause 5.1 , 5.2, 5.3 ). If Authorized Company breaches any of above restriction, the Authorized Company shall automatically give up the rights of plea and indemnify Owner for the loss in the market.

被授權人同意無償還捐付 …給擁有方,當成專利贊助金
6. Patent Application fund
The Authorized Company agrees to sponsor a non-refundable sum of USD ____ as a patent application fund by Authorized Company to Owner.
